The Prospect of Zakłady Azotowe w Tarnowie-Mościcach S.A. Approved

The subscription for shares from 7th to 10th January 2013.
The Polish Financial Supervision Authority approved the Prospect of Zakłady Azotowe w Tarnowie-Mościcach S.A. (Azoty Tarnów) made in connection with the offer concerning new shares for the shareholders of Zakłady Azotowe Puławy S.A. The owners of the company’s stocks in Puławy will have the opportunity to subscribe for shares in Azoty Tarnów from 7th to 10th January 2013. 
Azoty Tarnów will offer the shareholders of ZA Puławy not more than 42, 867.293 of D series shares. The offer is of the contribution nature which means that one share of ZA Puławy will entitle to the inclusion of 2,5 of the new shares in Azoty Tarnów. The contribution issue of shares is aimed at increasing Azoty Tarnów share in ZA Puławy capital to the level not lower than 60% (the present share equals 10,3 % - these are the acquired shares as a result of the tender offer announced on 13th of this year. The subscription for shares is going to be carried out from 7th to 10th January 2013 in POK (the customer service offices) of DM PKO BP and DM Pekao.

The issue of D series shares will enable the formation of the strong chemical-fertilizer group in Europe. “ The formation of such group is tantamount with increasing its competitiveness in the European market. It will both enable the investment to continue as well as improve the negotiating position by the consolidation process. And everything is in agreement with our new motto: Powering Creation”– says Jerzy Marciniak, Chairman of Azoty Tarnów Management Board.
Azoty Tarnów have the long-term experience in the processes of the takeovers of the companies associated with the chemical sector in Poland and abroad. In January 2010 the company acquired 100% shares in German company Unylon Polymers GmbH (present ATT Polymers GmbH. In the country Azoty Tarnów continued the formation of the strong capital group through the takeover of the controlling block of shares in ZAK S.A. (October 2010) and 66% of shares in ZCh. Police S.A. (August 2011).

Azoty Tarnów is waiting for the approval of the European Commission of the concentration. It is expected to appear until 18th January 2013. “ We did everything so as to make the transaction happen which is proved by the strategy being approved by the shareholders of Zakłady Azotowe w Tarnowie-Mościcach S.A., the Consolidation Agreement with ZA Puławy and the Prospect approved by the Polish Financial Supervision Authority. The conclusion of this difficult project depends on the side of the shareholders of Puławy and the European Commission – says Marciniak, Chairman of the Board.
