Grupa Azoty announcement in connection with sanctions imposed on Viatcheslav Kantor and his related parties

Following imposition on April 25th 2022 of national sanctions on Mr Kantor (extended by the decision of the Minister of Interior and Administration of March 15th 2025) and his related parties: Norica Holding S.à.r.l. of Luxembourg, Opansa Enterprises Limited of Cyprus and Rainbee Holdings Limited of Cyprus, holding in total a 19.82% ownership interest in Grupa Azoty S.A., the Company announces that: Viatcheslav Kantor is not a beneficial owner of the Company within the meaning of Directive (EU) 2015/849 of the European Parliament and of the Council; Viatcheslav Kantor neither owns nor has control over the Company within the meaning of the EU sanctions legislation, including Council Regulation (EU) No 269/2014.

Supervisory Board of Grupa Azoty S.A. Appoints Artur Babicz as Management Board Member Elected by Employees

The Supervisory Board has confirmed the validity of the election process for the candidate selected by the Company's employees to serve as a Member of the Management Board for the 13th term. The election took place from January 27 to February 11, 2025. Following this confirmation, on February 27, 2025, the Supervisory Board appointed Mr. Artur Babicz as a Member of the Management Board, with his term commencing on March 1, 2025.

Grupa Azoty Polyolefins and Financial Institutions extend the financing agreement for Polimery Police

Grupa Azoty Polyolefins has extended the validity of the Stabilization Agreement dated December 15, 2023, with subsequent amendments, concerning the financing of the Polimery Police project. Consequently, the terms under which Financial Institutions provide financing for the Project will remain in effect for the extended period of the Stabilization Agreement, i.e., until March 31 of this year.

Grupa Azoty Polyolefins and Financial Institutions extend financing terms for the Polimery Police Project

Following extensive discussions and negotiations with various banks, Grupa Azoty Polyolefins has signed an Amendment to the Stabilization Agreement dated December 15, 2023, regarding the financing of the Polimery Police project. As a result, the parties have agreed to extend the Stabilization Agreement until February 28, 2025. The Amendment was executed with 15 financing institutions.

Changes to the Management Board of Grupa Azoty Polyolefins S.A.

On January 20, 2025, the Supervisory Board of Grupa Azoty Polyolefins S.A. adopted a resolution changing the composition of the Company’s Management Board. Effective January 21, 2025, the Supervisory Board appointed Mr. Krzysztof Kołodziejczyk as President of the Management Board of Grupa Azoty Polyolefins S.A. for the third joint three-year term. Since October 21, 2024, Mr. Kołodziejczyk had been serving as Acting President of the Management Board, delegated from his role as a Member of the Supervisory Board.

Negotiations on Polimery Police: Cooperation and Stabilization Agreement signed between Grupa Azoty, Orlen S.A., Hyundai Engineering Co., LTD., and Korean Overseas Infrastructure & Urban Development Corporation

The signing of the Cooperation and Stabilization Agreement marks the next phase in discussions between Grupa Azoty and Orlen. Both companies have reaffirmed their commitment to further analyze strategic options outlined in the Letter of Intent signed in September this year regarding Grupa Azoty Polyolefins. The agreement remains in force until March 31, 2025, or earlier, should specific conditions outlined in the agreement arise.
