The Supervisory Board of Grupa Azoty S.A., in a meeting held on May 12, 2025, appointed Andrzej Skolmowski, the current Vice President of the Company, to serve as Acting President of the Management Board until a new President is appointed through an ongoing qualification procedure. The resolution of the Supervisory Board took effect immediately upon adoption.

Andrzej Skolmowski previously served as Vice President of the Management Board. An economist and manager with over twenty-five years of experience in management, restructuring, and corporate finance, as well as strategic advisory.
In March 2024, he was appointed Vice President of the Management Board of Grupa Azoty S.A., responsible for finance, controlling, corporate risk, cybersecurity, and investor relations. Since April 2024, he has served as Chairman of the Supervisory Board of Grupa Azoty Police, and since January 2025, he has been a member of the Supervisory Board of Grupa Azoty Puławy.
From 2019 to 2024, he held executive positions in biotechnology companies and firms developing advanced technological solutions for businesses using artificial intelligence, cloud solutions, and IT infrastructure. Since 2016, he has also been involved as a business advisor and investor in the creation and management of startups, the development of business structures for investor groups, and managing fund investments.
From 2009 to 2016, he served as Vice President of Grupa Azoty S.A., overseeing finance, IT, M&A, strategic research, and investor relations. Until 2013, he was responsible for integrating sales, procurement, and logistics areas within the emerging Group and establishing formal management structures to support matrix management processes. He actively participated in the creation of Grupa Azoty as a member of committees working on defense against hostile takeovers, consolidation of chemical companies within the Group, and later, integration of structures within the expanded capital group.
Earlier, he was associated with Sanfarm Sp. z o.o., where, as President of the Management Board and Acting General Director, he was responsible for finance, production, technology, and quality control, successfully reorganizing the company.
From 2004 to 2008, he held the positions of President of the Management Board and Member of the Management Board at ACP PHARMA S.A. Additionally, from 2000 to 2004, he served as President of the Management Board at Cefarm Rzeszów S.A. and from 2002 to 2004 as President of the Management Board at subsidiaries of Cefarm Rzeszów S.A.: Farma Sp. z o.o. in Rzeszów, Farma Sp. z o.o. in Warsaw, and Quantum Pharmacia Sp. z o.o.
He has extensive knowledge in building corporate management systems and capital group structures, creating management structures and company strategies, as well as reporting systems. He is an expert in controlling and budgeting implementations, restructuring, and debt refinancing. He has many years of experience in change management and managing investment projects, including overseeing acquisitions of companies in the chemical sector.
A graduate of the Institute of Economics at the Faculty of Social Sciences of the Catholic University of Lublin, he completed doctoral studies at the College of Management and Finance at the Warsaw School of Economics. He is also an alumnus of the Advanced Management Program at IESE Business School, University of Navarra in Barcelona.
Andrzej Skolmowski has declared that his activities outside the Company are not competitive with the Company’s operations. He does not participate in any competitive entity as a partner, shareholder, or member of its governing bodies.
