Grupa Azoty S.A., acting on its own behalf and on behalf of selected companies within the Grupa Azoty Capital Group, has signed an annex to the Agreement dated February 2, 2024, as amended. The term of the Agreement has been extended until June 30, 2025, subject to confirmation by the relevant Financing Institutions by June 26, 2025, of the extension of the Agreement.
‘We are consistently implementing the established Recovery Program and regularly presenting its effects to the financing institutions. In line with the schedule, we are signing agreements with banks, ensuring a stable financial position. At the end of April, we signed documents with the financing institutions under which they agreed to waive certain conditions of the financing agreements for Grupa Azoty,’ said Andrzej Skolmowski, Acting President of the Management Board of Grupa Azoty S.A.
The signing of the Annex to the Agreement ensures the continued availability of limits under the Financing Agreements and prevents the financing institutions from taking actions to cancel or reduce the available limits under the Financing Agreements, as well as from exercising certain rights arising from the Financing Agreements in connection with their breach or potential breach during the term of the Agreement. With the consent of the financing institutions, the Agreement may be further extended.
The Company emphasizes that it continues to meet all obligations regarding the servicing and repayment of liabilities under the Financing Agreements and that the available limits of these agreements ensure liquidity and financial security for Grupa Azoty, its obligations towards suppliers, and business continuity.
The Annex was signed with the following Financing Institutions: Powszechna Kasa Oszczędności Bank Polski S.A., Bank Gospodarstwa Krajowego, ING Bank Śląski S.A., Santander Bank Polska S.A., Caixabank S.A. Branch in Poland, BNP Paribas Faktoring sp. z o.o., ING Commercial Finance Polska S.A., Pekao Faktoring sp. z o.o., BNP Paribas Bank Polska S.A., Santander Factoring sp. z o.o., Banco Santander S.A., Branch in Frankfurt, as well as the European Bank for Reconstruction and Development and the European Investment Bank.
