Changes in the Supervisory Board of Grupa Azoty S.A.
On May 15, 2025, by resolutions of the Extraordinary General Meeting of the Company, Mr. Adam Leszkiewicz, until May 9, 2025, President of the Management Board of Grupa Azoty S.A., and Ms. Aleksandra Machowicz-Jaworska were appointed to the Supervisory Board of Grupa Azoty S.A. Simultaneously, by resolution of the Extraordinary General Meeting of the Company, Mr. Adam Leszkiewicz was appointed as Chairman of the Supervisory Board.

Grupa Azoty S.A. Signs Annex to Agreement with Financing Institutions
Grupa Azoty S.A., acting on its own behalf and on behalf of selected companies within the Grupa Azoty Capital Group, has signed an annex to the Agreement dated February 2, 2024, as amended. The term of the Agreement has been extended until June 30, 2025, subject to confirmation by the relevant Financing Institutions by June 26, 2025, of the extension of the Agreement.

Appointment of Acting President of the Management Board of Grupa Azoty S.A.
The Supervisory Board of Grupa Azoty S.A., in a meeting held on May 12, 2025, appointed Andrzej Skolmowski, the current Vice President of the Company, to serve as Acting President of the Management Board until a new President is appointed through an ongoing qualification procedure. The resolution of the Supervisory Board took effect immediately upon adoption.

Polimery Police: Grupa Azoty and Orlen Aim to Conclude Negotiations by June 23
The deadline for the Agreement signed on January 16 between Orlen S.A., Grupa Azoty S.A., Grupa Azoty Police S.A., and Grupa Azoty Polyolefins S.A. has been extended to June 23. The parties will continue to collaborate to finalize the terms and conditions of a potential transaction involving the acquisition by Orlen Group of all or part of Grupa Azoty Polyolefins shares held by Grupa Azoty or another form of investment.

Nomination of Candidates to the Supervisory Board of Grupa Azoty S.A. by the Minister of State Assets
On May 12, the Management Board of Grupa Azoty S.A. received notification from the Minister of State Assets – acting on behalf of the State Treasury, a shareholder of the Company – regarding the nomination of Mr. Adam Leszkiewicz and Ms. Aleksandra Machowicz-Jaworska as candidates for the Company’s Supervisory Board.
